Macdonald Henderson has co-advised (with PwC Société d’Avocats and Freshfields) Stock Spirits Group on the Scottish legal elements of the acquisition of Clan Campbell Blended Scotch Whisky brand from Pernod Ricard. Stock Spirits has, simultaneously with Clan Campbell, entered into exclusive negotiations to purchase Dugas, a French independent distributor of premium spirits.
The transactions are currently subject to the relevant regulatory and labour procedures required in France.
Both transactions are aimed at enabling Stock Spirits to expand in France and other Western European markets. Stock Spirits is one of the leading alcohol beverage companies in Europe with established positions in flavour and pure vodkas. It offers a portfolio of more than 70 brands in over 50 countries worldwide.
Clan Campbell is one of the leading brands in the blend-12 yo Scotch whisky category in France, with presence also in other European markets such as Spain, Luxembourg, and Italy. Its range has increased in recent years with the addition of Clan Caribbean rum-based spirit drink.
