Macdonald Henderson has advised JWF Process Solutions on a buy-in by Nevis Capital to support the growth and development of the business across the UK.
Founded in 1962, Glasgow-based JWF is an approved partner of several global instrumentation suppliers across the oil and gas, petrochemical, utility, healthcare and food and beverage sectors.
Kenneth Fairbairn, majority owner of JWF, will remain as managing director, with a significant shareholding.
Mr Fairbairn commented: “We are delighted to welcome Nevis as shareholders in JWF. They have a proven track record of successfully supporting industrial services businesses to grow and develop over the long term.
“Most importantly, their values are aligned with ours and they are focused on delivering outstanding results for their customers and employees.”
This deal builds on the acquisition of Stream Measurement that JWF completed three years ago to expand its across the UK (a transaction advised on by Macdonald Henderson). The business has expanded its after sales service offering in recent years, along with developing a data offering for its customer base.
Nevis Capital has acquired a significant stake and brings in a partner to the business.
Nevis partner Brian Aitken said: “JWF has all the attributes that we look for in a business – a great team, industry leading technical knowledge and outstanding customer service.
“We take a very long-term approach to our businesses and look forward to supporting the next phase of growth for JWF and being part of it for a long time to come.
About Macdonald Henderson, Mr Fairbairn commented:
“ I had no hesitation in engaging with Macdonald Henderson after they supported JWF in our acquisition of Stream Measurement in 2019. For this transaction with NEVIS, the advice and support from David Beveridge in particular was invaluable both on a personal and business level in ensuring that my expectations were met in respect of the outcomes required of this deal while David and Laura (McKnight) and the MH team ensured the whole process was kept simple and clear, allowing the business to operate as usual during the negotiations”.
We are pleased to have advised Kenneth, JWF and its dynamic management team on this exciting transaction, and wish all stakeholders in the continuing business every success for the future.
