Acting for the shareholders of WEEE Solutions, the independent waste electrical and electronic equipment recycler on the disposal of the company to Enva, the leading waste management and resource recovery business;
Acting for (N4 backed) McLaggan Smith Mugs, the Scottish headquartered business specialising in the decorating and supply of bone china mugs, and other decorative products, in relation to the acquisition of Ceramicraft, a specialist in the supply of transfers for the decoration of ceramics;
Advising the founder shareholder in a well- established Scottish insurance broker, on a part-disposal of shareholding to a leading UK consolidator;
Advising growing Central Scotland accountancy firm in on the acquisition of the client book, business, and assets of another Scottish accountancy firm;
Advising a global leader in explosion protection equipment (supply and rental), in relation to an internal business restructure to position the group for further growth;
Advising a Scottish business providing innovative building and construction products, in relation to a company restructure to allow equity participation by a new trade investor;
Advising US leader in gas and flame detectors on general UK corporate & banking matters for its new UK subsidiary;
Acting for a private shareholder in a Scottish engineering services business, in relation to a share buyback;
Advising a Scottish manufacturer of bespoke cable assemblies, control panels and associated electronic components, in relation to a company buyback from a shareholder;
Advising new start software development company, on the raising of a term loan facility from The Reward Group to position the business for a new HR product launch and future growth;
Co-advising with Big Four accountancy firm (to include Scots Law review of documentation and advice), in relation to a restructure project for a key player in the Scottish timber industry;
Assisting a company in the heavy plant and machinery sector in the review of supplier terms and conditions, including the drafting and preparation of a supplier code of conduct to highlight the corporate integrity, responsible sourcing, and environmental sustainability of the business;
Acting for an employee leaving employment in the recruitment sector by way of a settlement agreement;
Advising an executive coaching business in relation to the potential exit of an employee due to redundancy;
Advising a company providing residential care in Scotland in the drafting and preparation of a non-disclosure agreement for its suppliers;
Advice provided to a Scottish accountancy firm in relation to the operation of template articles of association for their corporate clients;
Advising experienced hospitality business in the acquisition of new premises in popular Scottish coastal resort.
