Advising Link Cable Assemblies, leading manufacturer of bespoke cable assemblies, control panels and associated electronic components, on the successful transition of a majority stake in the company to existing shareholders, supported by RBS;
Acting for the shareholders of an award winning provider of residential care in Scotland, in respect of (i) a complex restructure of the group and (ii) completion of an eight figure investment by a leading UK/European impact fund advisory firm;
Advising on the succession of an Edinburgh-headquartered global digital consultancy (acting for the exiting founder) who will go on to form a standalone (complimentary) consultancy business;
Acting for a company in the library technologies sector in relation to the drafting and preparation of an intellectual property acquisition agreement;
Assisting an industrial equipment supply company in relation to the terms of a project and deed of novation;
Advising a medical devices company in relation to the exit of a senior employee due to the restructure of a team;
Acting for a director and shareholder of an environmental consultancy business, in relation to their exit from the business by way of a share buyback agreement and settlement agreement;
Review and update of terms and conditions and supply & maintenance agreement for a Scottish work automation and data visualisation software company;
Advice on the exercise of EMI options for the leading Scottish independent outsource bottling and packing company offering a wide range of specialised services to the spirit industry;
Advising West of Scotland-based food wholesaler (to private and public sector) on the grant of EMI options to a key employee and consequent restructure of the company’s share capital and amendments to company constitution;
Advising a leading supplier of EV charging and petrol/diesel fuel cards on amendments to its company constitution and contractual arrangements in order to retain, incentive and motivate key executive shareholders;
Advising a leading provider of engineering, safety and risk management services on amendments to the company’s share capital and constitutional documents, to allow effective and flexible income shareholder distributions in the future;
Negotiation of lease management documentation for proprietors of leisure premises in Scottish Highlands;
Acting for Scottish community sports club spin completion of intra-group transfer of high profile leisure facility; and
Advising property investment company in the leasing of substantial restaurant premises in Scottish Central Belt.
