 June was an unforgettable month, as we watched, transfixed, as Scotland & the Tartan Army travelled to the Euros 2024, bringing us hope, joy and despair in equal measure.  Anyway, we are back (too soon) to our “wee bit hill & glen”, pictured.

Advising Emblation, the medical device technology business, on a £4M funding package with Virgin Money Venture Debt;

Advising on the MBO of a specialist supplier of ground pipeline products for the  civil engineering, drainage, ground works, agricultural and water utility sectors;

Acting as co-counsel with Freshfields on the accession by Clan Campbell (Whisky) Limited to the existing senior facility financing arrangements of Stock Spirits Group following the acquisition of Clan Campbell by Stock Spirits in 2023;

Advising one of Scotland’s largest independent pharmacy groups on the appointment as director and equity participation of a recently appointed key executive in the business;

Strategic advices to a Scottish/US manufacturing group regarding the proposed rationalisation of the shareholding base, to remove multiple minority shareholdings;

Advising the founder of a growing Scottish accountancy practice in relation to the potential departure of co-founder from the business and associated valuation and operational aspects;

Advising a newly formed Scottish accountancy business on its incorporation and constitution;

Advising a leading charity in women’s health on intellectual property matters, creation of a management board, and confidentiality arrangements;

Tailoring a Scottish special purpose corporate vehicle (limited company) for the purpose of carrying out (property) activities non-core to the existing (engineering) business;

Advising a medical devices company in relation to various corporate governance matters following a restructure of the management team;

Assisting a securities and facilities company in relation to the engagement of a consultant and terms and conditions in relation to same;

Advising a charity theatre group in relation to a trustee conflict of interest matter;

Acting for an employee in relation to their exit from the business by way of an ACAS settlement and COT3 agreement;

Acting for an employee in relation to their exit from the business by way of a voluntary redundancy package;

Acting for growing Scottish restaurant group, in leasing and opening of new licensed premises in Glasgow city centre, details to follow;

Advising property investors in completion of lease management documentation for well-established hotel property in Dunoon;

Advising experienced motor industry retailer in complex transaction involving sale of site in Scottish central belt.
