  • Advising Ardgowan Distillery Company Limited, a growing Scotch whisky producer, on the conversion of Distil plc’s £3 million convertible loan note into equity, resulting in Distil acquiring a 10.5% shareholding and board representation, and removing approximately £14 million of convertible loan note liabilities (including accrued interest);
  • Advising a premium Scottish rum producer, on a strategic third-party investment to accelerate growth and support the next stage of the company’s development;
  • Advising Scottish headquartered client company in the defence (subsea technology) sector on sale of shares to strategic investor;
  • Advising Norwegian headquartered client company on adoption of new articles of association to facilitate refinance process;
  • Advising growing Scottish East Coast coffee boutique group on investment by London-based private investor to position the business for further growth;
  • Advising an international research company on the drafting and preparation of a new collaboration agreement for a new researcher;
  • Advising a company in the care sector on the drafting and preparation of a managed services agreement with a developer for the creation of a new AI training tool;
  • Assisting a personal care business on updating employment terms for staff contracts and staff policies & procedures;
  • Assisting an IT and software services company on the review of new data processing agreements with key customers;
  • Advising a digital solutions company in relation to the investigation of a potential data protection breach;
  • Advising a business support company on employee loan terms for exiting employees;
  • Acting for senior employees in a digital and software company on the terms of a settlement agreement in order to adjust their employment status;
  • Advising experienced property investor in relation to assignation of lease regarding Glasgow retail property;
  • Acting for landlord in lease of modern warehouse facility in Scottish central belt;
  • Advising charity in relation to management documentation concerning various commercial leases; and
  • Recovering a six figure sum for Maltese corporate client in respect of unpaid invoice(s), paid by the debtor within one week of instruction and (threatened) litigation.
