Macdonald Henderson has co-advised with global law firm Stephenson Harwood (providing Scottish corporate and banking legal support), on Edinburgh-based 2i Testing’s acquisition of nFocus, the UK’s longest established testing consultancy.
The acquisition follows London-based private equity firm Rockpool’s eight-figure investment in 2i last year (2024) which Macdonald Henderson also co-advised on.
This acquisition aligns with the company’s strategy to accelerate market presence, diversify service offerings and become the leading quality assurance company in the UK.
Dave Kelly, chief executive of 2i, commented:
“nFocus aligns perfectly with our vision, culture, and commitment to delivering exceptional outcomes for our clients.
“Their award-winning team of quality engineers and strong leadership bring a wealth of expertise and innovative capability to our organisation that will benefit everyone involved.”
By leveraging nFocus’ complementary strengths, 2i aims to drive operational efficiencies, innovate service delivery and further improve customer experiences.
Danny Crone, founder of University Of Wolverhampton-based nFocus, explained: “When Ross Lister and I embarked on this journey nearly a quarter of a century ago, our vision was to build a business where talented individuals could thrive and where we could continuously delight our customers.
“I am incredibly proud to say that we have not only achieved this, but our team’s dedication and hard work have placed us in a remarkable position.
“This has led to an incredible and like-minded organisation, 2i, taking notice and expressing a desire to partner with us.
“Over the past three years, we have doubled our permanent headcount, onboarded over 40 new clients, and launched an award-winning Test Engineer Academy that has helped to address an industrywide scarcity – joining forces with 2i amplifies this success, positioning us as the go-to provider for quality assurance and testing services.“
Both testing firms will continue to operate under their established brands.
Macdonald Henderson are delighted to co advise with Stephenson Harwood once again, and wish Rockpool and all stakeholders in 2i and nFocus every success for the future.
