Darya Burton
Solicitor

Darya is a Solicitor in the Corporate Team, advising on a broad range of corporate matters, including mergers and acquisitions, management buyouts, banking and finance and corporate governance matters.

Darya joined the firm in 2023 as a trainee solicitor and qualified as a solicitor in the Corporate Team in 2025.

In 2018 Darya completed the HND Legal Services foundation course in law at City of Glasgow College where she obtained AAA grades. She subsequently obtained a first class honours degree in Clinical Bachelor of Laws (CLLB) in Scots Law from the University of Strathclyde in 2022, followed by the Diploma in Professional Legal Practice in 2023.

During her undergraduate studies, Darya was actively involved with the University of Strathclyde Law Clinic, where she volunteered for five years as a student advisor. In this role, she managed her own caseload and provided pro bono legal advice on commercial, employment, and housing matters gaining invaluable practical experience and demonstrating a strong commitment to access to justice.

Prior to joining Macdonald Henderson, Darya worked for four years as a legal assistant at a Glasgow-based law firm specialising in Private Client, Residential and Commercial Conveyancing.

Outside of her professional commitments, Darya maintains a keen interest in health and wellbeing and regularly attends hot yoga classes.

Transaction highlights:

  • Advising Scotland’s Housing Network, the membership organisation for local authority and housing association landlords on the completion of the acquisition of CD Consultancy, the regulation consultant;
  • Advising on the disposal (to management) of Scottish logistic business HP Transport (Scotland);
  • Advising leading Scottish building consultancy, on the establishment of an EMI option scheme to retain, incentive and motivate key members of the management team; and
  • Acting for a newly incorporated software company in relation to a transaction involving the transfer and re-designation of shares, together with the drafting and preparation of a new shareholders’ agreement.
